HMP Foreign Desk - International Companies in Poland, IT Sector Focus
HMP Foreign Desk is our dedicated practice for foreign-owned companies - founders, groups and investors operating in Poland or entering the market. It works like a single Polish back office for your legal and tax matters. One team of attorneys-at-law and licensed tax advisors, working in English, with particular experience in the IT and software sector.
Relocating a business to Poland
We guide companies moving their operations to Poland - in particular from Ukraine and Belarus - through the whole legal path: choosing and forming the right entity (usually a sp. z o.o.), registrations with KRS, NIP, VAT and ZUS, transferring contracts and teams, and setting up B2B or employment engagements that comply with Polish law. Tax residence questions and ongoing settlements are coordinated from day one, so income does not fall between two jurisdictions.
For software businesses, relocation also means moving intangibles safely: copyright to code, trademarks and domains, licensing chains from developers. We document the transfers so that Polish preferences such as IP Box remain available after the move.
What we handle for foreign businesses
Company formation and corporate maintenance of a Polish sp. z o.o., VAT and CIT registrations, individual tax rulings, commercial contracts, structuring of employment and B2B contractor engagements, representation before Polish tax authorities and administrative courts, and day-to-day coordination with your accountants or a group finance team. You get one point of contact instead of three separate advisors.
IT sector focus
For software companies and tech teams in Poland we structure and defend the preferences this market is known for:
- R&D relief (ulga B+R) - an additional deduction of qualifying development costs, based on a joint analysis of the projects with your team and research institutions;
- IP Box - the 5% rate on qualified income from software copyrights, with the documentation and rulings to support it;
- 50% author’s costs for employed developers - payroll structuring that stands up to an audit;
- B2B contracting - agreements that reflect the real relationship and manage reclassification risk;
- IP assignment and licensing - clean chains of title for software created by employees and contractors.
We combine the R&D relief and IP Box in one settlement where the numbers justify it, and we obtain individual rulings before you rely on a preference - not after a dispute starts.
Grants for tech manufacturers
If your Polish entity manufactures hardware or dual-use products (civilian and military applications), EU-funded instruments such as the BGK credit with a non-repayable premium (FENG 2.33) may co-finance the investment. We assess eligibility before the call and run the application end to end - see our EU grants practice.
